Terms of Service

1. Acceptance of Terms

By accessing or using Stockteller Specialist ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Stockteller Specialist is an AI-assisted financial data tool that extracts and analyses publicly available SEC filings to produce quantitative metrics and qualitative summaries for US-listed companies. The Service uses SEC EDGAR XBRL data for quantitative fields and Google Gemini AI for qualitative narrative analysis.

3. No Financial Advice

The Service provides educational and informational content only. Specifically:

• Credit grades (AAA, AA, BBB, BB, C) are algorithmic signals, not credit ratings from a licensed credit rating agency
• Survival scores are mathematical models, not guarantees of company viability
• Moat analysis, core thesis, and AI audit logs are AI-generated summaries and may contain errors
• All data is derived from public SEC filings and may be outdated, incomplete, or incorrectly extracted
• The Service does not account for news, market conditions, management changes, or events not yet reflected in SEC filings

We accept no liability for investment decisions made based on information from this Service.

4. Data Accuracy

While we use structured XBRL data from the SEC for quantitative fields, we do not guarantee accuracy. Known limitations include:

• XBRL tagging errors by the filing company
• Incomplete XBRL data for smaller reporting companies
• AI extraction errors in qualitative fields
• Filing data that is stale (more than 90–180 days old)
• Foreign filers (20-F, 40-F) are supported but may return fewer fields than US domestic filers due to IFRS tag differences

Always verify data against the original SEC filing before relying on it.

5. User Accounts

• You must sign in with a valid Google account to access certain features
• You are responsible for maintaining the security of your account
• You may not create accounts for the purpose of abusing the rating, flagging, or verification system
• We reserve the right to suspend or terminate accounts that abuse the platform

6. PRO Subscription

• PRO access is sold as one-time passes: 30-Day Pass ($10 USD / 300 THB) or 365-Day Pass ($99 USD / 3,000 THB)
• Passes are non-recurring — there is no auto-renewal or subscription. You purchase each pass individually.
• If you purchase a new pass while your current pass is still active, the remaining days are added to the new pass (time-stacking).
• No refunds are provided for partial months
• We reserve the right to change pricing with 30 days notice
• Access codes are non-transferable and may be revoked if misused

7. Prohibited Uses

You may not:

• Use the Service to make automated bulk requests (scraping, bots, scripts)
• Attempt to reverse-engineer, copy, or resell the Service or its outputs
• Represent AI-generated content as professional financial advice to third parties
• Circumvent rate limits, authentication, or security measures
• Use the Service for any illegal purpose

8. Intellectual Property

The Service's code, design, branding, and original content are owned by Stockteller Specialist. Financial data sourced from SEC EDGAR is public domain. AI-generated analysis is provided to you for personal use only and may not be redistributed commercially.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Stockteller Specialist and its operators shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to investment losses.

10. Indemnification

You agree to indemnify and hold harmless Stockteller Specialist and its operators from any claims, losses, or damages arising from your violation of these Terms or your use of the Service.

11. Service Availability

We do not guarantee uninterrupted availability of the Service. We may modify, suspend, or discontinue the Service at any time with or without notice. We are not liable for any downtime or data loss.

12. Governing Law

These Terms are governed by the laws of Thailand. Any disputes shall be resolved in the courts of Thailand.

13. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Refund Policy

All sales are final. One-time payment. No auto-renewal. By completing checkout, you agree that due to the immediate access to proprietary AI data, no refunds will be issued.

Why no refunds? Each PRO scan irreversibly triggers Gemini AI API costs and grants immediate access to proprietary research. The service is fully delivered the moment payment clears.

Exceptions — what IS refundable

• Duplicate charge: if the same pass was charged twice, we will refund the duplicate.
• Failed access: if our infrastructure failed to activate your PRO tier within 24 hours of a confirmed payment, we will refund in full.
• Statutory rights: nothing in this policy overrides mandatory consumer-protection rights under applicable law. EU users: the 14-day digital-content withdrawal right is waived upon immediate delivery (Directive 2011/83/EU, Art. 16(m)) — by proceeding you confirm this. Thai users: rights under the Consumer Protection Act B.E. 2522 are preserved where mandatory.

Chargeback Policy

Filing a chargeback for a delivered, accessed PRO pass will result in permanent account termination and forfeiture of all remaining pass days. We maintain access logs for dispute resolution. Please email us before initiating a dispute — we resolve legitimate issues promptly.

4. การสมัคร PRO

• แพ็คเกจไม่ต่ออัตโนมัติ — ไม่มีการหักเงินซ้ำ คุณซื้อแต่ละแพ็คด้วยตัวเอง
• หากซื้อแพ็คใหม่ขณะที่แพ็คเก่ายังไม่หมดอายุ วันที่เหลือจะถูกบวกเพิ่มเข้าไป (Time-Stacking)
• ไม่มีการคืนเงินสำหรับเดือนที่ใช้งานบางส่วน
• เราขอสงวนสิทธิ์ในการเปลี่ยนราคาโดยแจ้งล่วงหน้า 30 วัน

5. การใช้งานที่ต้องห้าม

• ใช้บริการเพื่อทำคำขออัตโนมัติจำนวนมาก (scraping, บอต, สคริปต์)
• พยายามถอดรหัส คัดลอก หรือขายต่อบริการหรือผลลัพธ์
• นำเสนอเนื้อหาที่สร้างโดย AI เป็นคำแนะนำทางการเงินระดับมืออาชีพต่อบุคคลที่สาม
• หลีกเลี่ยงการจำกัดคำขอ การยืนยันตัวตน หรือมาตรการความปลอดภัย

6. ข้อจำกัดความรับผิด

ภายใต้ขอบเขตที่กฎหมายที่บังคับใช้อนุญาต Stockteller Specialist และผู้ดำเนินการจะไม่รับผิดชอบต่อความเสียหายใดๆ ที่เกิดจากการใช้งานหรือการไม่สามารถใช้งานบริการ รวมถึงแต่ไม่จำกัดเพียงความสูญเสียจากการลงทุน

7. กฎหมายที่ใช้บังคับ

ข้อกำหนดเหล่านี้อยู่ภายใต้กฎหมายของประเทศไทย ข้อพิพาทใดๆ จะได้รับการแก้ไขในศาลไทย

8. นโยบายการคืนเงิน

ไม่มีการคืนเงินทุกกรณี ชำระครั้งเดียว ไม่ต่ออายุอัตโนมัติ เมื่อชำระเงินเสร็จสิ้น ถือว่าท่านยอมรับว่าเนื่องจากสามารถเข้าถึงข้อมูล AI เฉพาะได้ทันที จะไม่มีการคืนเงินใด ๆ

เหตุใดจึงไม่คืนเงิน? ทุกการสแกน PRO กระตุ้นต้นทุน Gemini AI API ที่ไม่สามารถย้อนคืนได้ และมอบสิทธิ์เข้าถึงงานวิจัยเฉพาะทันทีที่ชำระเงิน บริการถือว่าได้รับมอบแล้วทันทีที่การชำระเงินได้รับการยืนยัน

ข้อยกเว้น — กรณีที่สามารถคืนเงินได้

• ชำระซ้ำ: หากมีการเรียกเก็บเงินซ้ำสำหรับ Pass เดียวกัน เราจะคืนเงินรายการซ้ำ

• สิทธิ์ตามกฎหมาย: นโยบายนี้ไม่ตัดสิทธิ์ผู้บริโภคที่บังคับใช้ตามกฎหมายที่เกี่ยวข้อง สิทธิ์ผู้บริโภคตาม พ.ร.บ. คุ้มครองผู้บริโภค พ.ศ. 2522 ยังคงได้รับการคุ้มครองเมื่อบังคับใช้

นโยบาย Chargeback

การยื่น chargeback สำหรับ PRO pass ที่ได้รับมอบและใช้งานแล้ว จะส่งผลให้บัญชีถูกระงับถาวรและสูญเสียวันที่เหลือทั้งหมด เราเก็บบันทึกการเข้าถึงสำหรับการแก้ไขข้อพิพาท กรุณาส่งอีเมลถึงเราก่อนเริ่มข้อพิพาท — เราแก้ไขปัญหาที่ถูกต้องอย่างรวดเร็ว
